Terms & Conditions
1. Introduction and acceptance
These Terms & Conditions ("Terms") govern your access to and use of VEYRO FORCE, including the website at https://veyroforce.com, the application at https://app.veyroforce.com, the trainer websites and booking pages created with it, and any related services (together, the "Service"). The Service is provided by VEYRO FORCE ("we", "us", "our").
By creating an account, ticking the box to agree, starting a free trial, entering payment details, or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not create an account and do not use the Service.
If you use the Service on behalf of a business or another person, you confirm that you have authority to bind that business or person to these Terms, and "you" includes them.
We record your acceptance electronically, including the version of the documents you accepted, the exact text (by a cryptographic fingerprint), the date and time, your IP address and browser details. You agree that this record is valid evidence of your agreement (see the section "Electronic acceptance and record keeping").
2. Definitions
- "Account" means the login you create to use the Service. "Workspace" means the business space inside the Service that holds your data, settings and website.
- "Your Content" means everything you or people acting for you put into or create with the Service, including client and lead records, notes, photographs, messages, appointments, website text, images, forms and settings.
- "Client Data" means personal information about your own clients, leads, prospects and website visitors that you store or collect through the Service.
- "Subscription" means your paid plan for the Service. "Free Trial" means the introductory period described below. "Billing Provider" means Stripe or any replacement payment processor we use.
- "Platform Administrator" means a person authorised by us to administer the Service, for example to grant complimentary access or investigate misuse.
3. Eligibility and your account
You must be at least 18 years old and legally able to enter a binding contract to use the Service. The Service is intended for business use by personal trainers, coaches and similar fitness professionals; it is not intended for children.
You must give accurate, current and complete information when you register and keep it up to date. You must not impersonate anyone or create an account using false details.
You are responsible for keeping your password and login secure and for everything that happens under your Account, whether or not you authorised it. Tell us immediately if you suspect unauthorised access. We are not responsible for loss caused by your failure to protect your credentials.
One person or business should hold one Account and one Workspace. You must not create additional accounts to obtain further free trials, to avoid a suspension, or to circumvent any restriction we have applied. We may close accounts that do so.
You are responsible for anyone you allow to use your Workspace, and for making sure they follow these Terms.
4. The Service
VEYRO FORCE is a software platform that lets a trainer build a public website with online consultation booking, capture and manage leads, manage clients, keep a calendar and recurring appointments, send automated email follow-up, keep messages and notes, and manage the subscription for the Service. Features may be added, changed, limited or removed over time.
Some features are described as planned or coming soon (for example connections to WhatsApp or Instagram). Until a feature is released and switched on, it is not part of the Service and we make no promise about it or about when it will exist.
We may use third-party providers to run the Service (see "Third-party services"). The Service depends on them and on the internet, and we cannot guarantee uninterrupted or error-free operation.
The Service is a tool. It does not provide legal, medical, tax, accounting or professional advice, and it does not replace your own judgement or your own professional obligations.
5. Free trial, subscription and payment
- Free Trial. A new Workspace may start with a 3-day Free Trial of the Service. A valid payment card is required to start it. You are not charged when the Free Trial starts.
- One trial per card. The Free Trial is available once per payment card. We keep a non-reversible fingerprint of the card (not the card number) to enforce this. If a card has already been used for a Free Trial, we may end the trial straight away and charge the first payment immediately. Creating extra accounts, emails or workspaces to obtain more free trials is a breach of these Terms.
- Automatic renewal. Unless you cancel before the Free Trial ends, your Subscription starts automatically at the end of the Free Trial and renews every month at $50 per month (or the price shown to you at sign-up) until you cancel. By starting the Free Trial you authorise us and our Billing Provider to charge your card that amount on the day the Free Trial ends and on each monthly renewal date, without asking you again.
- Prices and currency. Prices are shown in US dollars. Your card issuer may convert the amount into your local currency and may charge foreign-transaction fees. Prices exclude taxes such as VAT or sales tax unless stated; you are responsible for any taxes that apply. We may change our prices on at least 30 days' notice; the new price applies from your next renewal after the notice period, and you may cancel before then.
- Payment processing. Payments are processed by our Billing Provider. Your card details are handled by the Billing Provider and are not stored on our servers. You agree to the Billing Provider's terms for payment processing.
- Accurate payment details. You must keep your payment details valid and up to date and must have the right to use the card you provide.
- Failed payments. If a payment fails or is declined, your Account is suspended immediately (see "Suspension"). We and the Billing Provider may retry the payment. Access returns once payment succeeds. You remain responsible for any amount owed.
- No refunds. Except where the law requires otherwise, fees are non-refundable, including for a partially used month, unused time or features you did not use. If you cancel, your access continues to the end of the period you have already paid for. Nothing in these Terms limits any refund right you have under mandatory consumer-protection law.
- Chargebacks and disputes. Please contact us first if you think a charge is wrong. If you dispute a charge with your bank or card issuer without contacting us, we may suspend or close your Account, and you agree to reimburse our reasonable costs of dealing with the dispute where the charge was valid.
- Recovery of unpaid amounts. We may take reasonable steps to recover money you owe us, and you are responsible for reasonable collection costs where the law allows.
6. Cancelling and ending the agreement
You can cancel your Subscription at any time from the Billing page of the app (the "Manage billing" button) or by contacting us. If you cancel during the Free Trial before it ends, you will not be charged. If you cancel after the Free Trial, your Subscription ends at the end of the current paid period and is not renewed. Cancelling does not by itself delete your data.
A workspace whose Subscription has ended, or has not been started, is limited to the Billing page until a Subscription is (re)started.
We may end or suspend your access, or close your Account, if you breach these Terms, if you misuse the Service, if we are required to by law, if your use creates risk or legal exposure for us or others, or if we stop providing the Service. Where reasonable and lawful we will tell you why and give you a chance to fix a problem that can be fixed; we may act immediately where the breach is serious, harms others or the Service, or is unlawful.
On ending, your right to use the Service stops. Any public website or booking page created with the Service may be taken offline. Sections of these Terms that by their nature should survive ending (such as payment obligations, disclaimers, limitation of liability, indemnity, intellectual property, and dispute resolution) continue to apply.
7. Suspension, data safety and deletion
Suspension for non-payment. If a payment fails, or a Subscription is unpaid or ended, your Workspace is suspended: only the Billing page (and signing out) is available until the amount is paid or a new Subscription is started. Your data is not deleted by a suspension. Access returns as soon as payment succeeds.
Other suspensions. We may suspend your access or your public website, without prior notice where necessary, for breach of these Terms, suspected fraud or abuse, security reasons, complaints from recipients of your messages, or legal requirements.
Deletion after long inactivity. If your Workspace stays suspended, unpaid or cancelled for more than 90 days, we may, after sending a notice to your account email, permanently delete the Workspace and its data. It is your responsibility to export anything you need before then.
You are solely responsible for keeping your own backups and copies of Your Content. See "Availability, backups and data loss".
8. Complimentary access
We may, at our sole discretion, give some users complimentary (free) access, for example to people helping us promote the Service. Complimentary access is a courtesy, is not a right, can be withdrawn at any time with or without notice, and does not create any promise of future free access. These Terms apply in full to complimentary users. If complimentary access is withdrawn, the Workspace is treated as having no Subscription until one is started.
9. Your Content and your clients' data
You keep ownership of Your Content. You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit and display Your Content only as needed to operate, secure, support and improve the Service for you, to publish what you choose to make public, and to comply with the law. This licence ends when Your Content is deleted from the Service, except for backups and legal records kept for a reasonable period.
You are responsible for Your Content. You promise that you have all rights and permissions needed to upload it and to allow us to process it, that it is lawful, accurate and does not infringe anyone's rights, and that you have a lawful basis, and where required the consent, to collect and use Client Data.
Client Data and data protection roles. For Client Data, you decide why and how it is used. You are the "responsible party" or "controller" and we act as your "operator" or "processor", processing it on your instructions to provide the Service. You must comply with all laws that apply to your use of personal information, including where relevant the Protection of Personal Information Act 4 of 2013 (POPIA) in South Africa, the EU and UK GDPR, and any equivalent law. In particular you must give your clients and website visitors the notices and choices the law requires, keep Client Data accurate, respond to their requests, and only collect what you need.
Sensitive information. Notes and records may contain sensitive information, such as health, injury, body measurements, photographs of your clients' bodies and results. You must only collect it with the person's clear consent, keep it secure, use it only for the purpose it was given, and never publish it (including transformation photos or testimonials) without written consent from the person shown. The Service can record consent for published transformations, but you remain responsible for obtaining and keeping proof of it.
Children. You must not collect information about people under 18 except where the law allows and you have the consent of a parent or guardian.
Processing terms. We will process Client Data only on your documented instructions (these Terms, your use of the Service and its settings), keep it confidential, apply appropriate technical and organisational security measures, use only sub-processors described in our Privacy Policy, help you respond to data-subject requests and to security incidents to a reasonable extent, and delete or return Client Data on ending as described in these Terms. You authorise our use of those sub-processors.
Removal. We may remove or disable Your Content, including a public website, if we reasonably believe it breaches these Terms or the law, or if we receive a valid legal request or complaint. Where practical we will tell you.
Feedback. If you give us ideas or suggestions we may use them without obligation to you.
10. Acceptable use
You must use the Service lawfully and responsibly. You must not, and must not allow anyone else to:
- break any law or regulation, or infringe anyone's rights (including privacy, intellectual property and consumer rights);
- send spam or unsolicited commercial messages, send messages without a lawful basis or consent, ignore opt-out requests, or use purchased or scraped contact lists;
- upload or publish unlawful, defamatory, harassing, hateful, sexually explicit, deceptive or fraudulent content, or content that puts anyone at risk of harm;
- make false, misleading or unsubstantiated claims about health, fitness results, weight loss, qualifications or earnings, or publish before/after results or testimonials that are not genuine or not consented to;
- upload viruses or malicious code, probe or attack the Service, bypass security, access another workspace's data, or overload the Service;
- reverse engineer, copy, resell, sub-license, white-label or offer the Service to others except as we allow in writing;
- use the Service to run a business unrelated to its purpose, or to store data you have no right to hold;
- use automation, bots or scrapers to access the Service except through interfaces we provide;
- create multiple accounts to abuse free trials or evade suspension or enforcement;
- use the Service in a way that damages our reputation, our relationship with our providers, or the deliverability of email sent through our systems.
11. Emails, messages and automations
The Service can send email (and, in future, other messages) on your behalf, including automated follow-up when a lead, client or appointment is created. You are the sender in law of those messages and are responsible for their content, timing, recipients and legality.
You must only message people who have a lawful basis or have given the consent the law requires, must identify yourself accurately, must honour opt-outs promptly, and must comply with laws on electronic communications and direct marketing (including POPIA, the Electronic Communications and Transactions Act, the Consumer Protection Act, CAN-SPAM, and the GDPR and ePrivacy rules where they apply). A person who submits your website's contact form may reasonably expect a reply to their enquiry, but you must not use their details for unrelated marketing without a lawful basis.
Email delivery depends on recipients' mail providers and on third parties. We do not guarantee that any message will be delivered, delivered on time, or kept out of spam or junk folders. The delivery information we show is provided by third parties and may be delayed or incomplete.
We may limit, delay, block or review sending, and may suspend automations, to protect the Service, comply with the law, or deal with complaints or poor sender reputation.
Automations follow the settings you create. You are responsible for testing them, for the content of every message, and for turning them off when they are no longer appropriate. We are not liable for messages sent, or not sent, because of how an automation was configured.
12. Public websites and online booking
The Service can publish a website and a booking page for your business, on a subdomain of our domain or another address we support. You control what is published and whether it is live. You are responsible for everything on it, including accuracy of prices, services, availability, qualifications and claims, and for any legal notices your own business needs (such as your own terms, privacy notice and cancellation policy).
Bookings and enquiries made through your website are agreements between you and the visitor; we are not a party to them. The booking system is a scheduling tool: we do not guarantee that availability is displayed correctly at all times or that a booking will be free of conflicts, and you must check your own calendar and confirm important appointments.
We may take your website offline if it breaches these Terms or the law, or while your Workspace is suspended, cancelled or deleted.
Website addresses (subdomains) are not sold or owned; they are provided as part of the Service and may be reclaimed, changed or removed if you breach these Terms or your account ends.
13. Health, fitness and professional responsibility
We supply software only. We do not provide fitness, medical, nutrition or other professional services, and we do not supervise, check or endorse any trainer or any training programme. You alone are responsible for the training, advice and services you provide to your clients.
You are responsible for holding any qualifications, licences, registrations and insurance (including professional indemnity and public liability insurance) that you need, for screening clients for health risks, for obtaining signed waivers and informed consent where appropriate, and for complying with the law and professional rules that apply to you.
To the fullest extent the law allows, we are not responsible for any injury, illness, death, loss or damage arising from training, advice, exercise or nutrition provided by you or anyone else, or from anything a client does or fails to do.
14. Payments between you and your clients
At the time of these Terms the Service does not collect payments from your clients on your behalf. Any price shown on your website is for information, and any payment arrangement between you and a client is your responsibility, including invoicing, refunds, taxes and disputes. If we introduce client payments in future, extra terms will apply and will be shown before you can use them.
15. Third-party services
The Service relies on third-party providers, currently including Supabase (database, authentication and file storage), Cloudflare (hosting, network and security), Resend (email delivery) and Stripe (payment processing). We may add, change or remove providers. Their availability, security and terms are outside our control; using the Service may require you to follow their rules (for example, Stripe's terms for payments).
We are not responsible for the acts, omissions, outages or security of third parties, or for links to third-party sites. Links do not mean we endorse them.
16. Intellectual property
The Service, including its software, design, text, graphics, logos and the VEYRO FORCE name and marks, belongs to us or our licensors and is protected by intellectual-property law. We give you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for your own business while these Terms apply. You get no other rights.
You must not use our name, logo or marks in a way that suggests we endorse you or your services, without our written permission. Your website's "Powered by" notice must not be removed except as we allow.
You must have the rights to any images, logos, music, text and other material you upload, including photographs of people. We may respond to notices of alleged infringement by removing content, and may close repeat infringers' accounts.
17. Privacy, security and data location
Our Privacy Policy explains what personal information we collect and how we use, share, protect and keep it. It forms part of these Terms.
We use reasonable technical and organisational measures to protect the Service and its data, such as access controls, encryption in transit, and separation between workspaces. No system is completely secure and we cannot guarantee that unauthorised access, loss or disclosure will never happen. If we become aware of a security incident affecting personal information in your Workspace, we will notify you without undue delay and as the law requires, and give reasonable help so you can meet your own duties to notify people and regulators.
Your data may be stored and processed in countries other than your own, by us and by our providers. By using the Service you agree to this, and we will take steps that the law requires to protect information that is transferred.
18. Availability, backups and data loss
We aim to keep the Service available but we do not promise any particular uptime, response time or service level. The Service may be unavailable for maintenance, upgrades, emergencies or reasons beyond our control. Support is provided on a reasonable-effort basis.
We take steps intended to protect data, but the Service is not a backup service. You are responsible for keeping your own copies of important information (for example by exporting or recording it elsewhere). To the fullest extent the law allows, we are not liable for loss, corruption or unavailability of data.
Some features may be provided as early releases and may contain errors. You use them at your own risk.
19. Disclaimer of warranties
To the fullest extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, or that the Service will meet your requirements or be uninterrupted, secure or error-free.
We do not guarantee any particular result from using the Service, such as number of leads, clients, bookings, revenue or search-engine ranking.
20. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, for example liability for fraud, or for gross negligence or wilful misconduct where the law does not allow it to be excluded, or any rights you have under mandatory consumer-protection law.
Subject to that, to the fullest extent the law allows:
- we are not liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for loss of profit, revenue, business, goodwill, opportunity, clients or data, however caused;
- we are not liable for loss caused by third parties, by events beyond our reasonable control, by your Content or your messages, by your breach of these Terms or the law, by the services or advice you give your clients, or by unauthorised access that results from your failure to protect your login;
- our total liability to you for all claims arising out of or in connection with the Service or these Terms, whether in contract, delict (tort), negligence or otherwise, is limited to the fees you actually paid us for the Service in the three (3) months before the event that gave rise to the claim.
You accept that these limits are reasonable given the price of the Service and that we would not offer the Service without them.
21. Indemnity
You agree to defend, indemnify and hold harmless us, our officers, directors, employees, contractors and providers from and against any claim, demand, loss, liability, damage, penalty, fine and expense (including reasonable legal fees) arising out of or connected with: Your Content and Client Data; the messages you send; your websites and bookings; the services and advice you provide to clients; your breach of these Terms or the law; your infringement of anyone's rights; or your misuse of the Service. We will tell you promptly of any claim, and you must not settle a claim in a way that admits fault by us without our consent.
22. Confidentiality
Each of us must keep the other's non-public business information that is shared in connection with the Service confidential and use it only for the purpose of the Service, unless it is already public, was lawfully obtained elsewhere, or must be disclosed by law. Confidentiality obligations do not restrict us from processing Your Content as these Terms allow.
23. Changes to the Service and to these Terms
We may change these Terms and the Privacy Policy from time to time, for example when the Service, the law or our practices change. The current version is always available at https://veyroforce.com/terms and in the app. When we make a material change we will ask you to accept the new version before you continue, and may also notify you by email. If you do not agree to the new version you must stop using the Service and can cancel your Subscription.
We may change, suspend or discontinue any part of the Service. If we discontinue the whole Service we will give reasonable notice where we can and allow you a reasonable time to export your data.
24. Electronic acceptance and record keeping
You agree that clicking a box, button or link to accept, and creating an account or starting a Free Trial, is your legally binding electronic signature and consent, in accordance with the Electronic Communications and Transactions Act 25 of 2002 and similar laws. You agree that we may keep electronic records of your acceptance of these Terms, the Privacy Policy and the recurring-payment authorisation, including the version and text you accepted, the date and time, your IP address and browser information, and your account and workspace identifiers, and that these records are admissible evidence of your agreement.
We may also record your agreement to the automatic-renewal terms at the point where you add your card. You confirm that you have read and understood how the Free Trial and the automatic monthly charge work before you started.
25. Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa, without regard to conflict-of-law rules. Subject to any mandatory rights you have as a consumer, the courts of South Africa have jurisdiction, and you consent to that jurisdiction. Either of us may ask any competent court for urgent relief, such as an interdict, to protect confidential information, intellectual property or the security of the Service.
Before starting any formal proceedings, each of us agrees to try in good faith to resolve a dispute by written notice to the other and at least 30 days of discussions.
26. General
- Entire agreement. These Terms, the Privacy Policy and any extra terms shown to you for a specific feature are the whole agreement between us about the Service and replace earlier understandings.
- Severability. If a provision is found invalid or unenforceable, the rest remains in force and the provision is applied to the extent the law allows.
- No waiver. Not enforcing a right is not a waiver of it.
- Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours to a successor or affiliate, for example on a merger or sale of the business, and will give notice where the law requires.
- Force majeure. Neither of us is liable for failure or delay caused by events beyond reasonable control, including power or internet failure, third-party outages, government action, natural disasters, war, strikes or cyber-attacks. This does not excuse a payment already due.
- Notices. We may give you notices by email to your account address, in the app, or on our website. You may contact us using the contact details published on veyroforce.com or in the Settings page of the app.
- Relationship. Nothing creates a partnership, joint venture, agency or employment relationship between us. There are no third-party beneficiaries of these Terms.
- Language and headings. These Terms are in English. Headings are for convenience only.
27. Contact
Questions about these Terms, requests about your data, or complaints can be sent to us using the contact details published on veyroforce.com or in the Settings page of the app.
